Terms of Service

By accessing or using the Nepal Test Prep website (www.nepaltestprep.com) and all associated services (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all documents incorporated by reference, including our Privacy Policy, Cookie Policy, and — where applicable — our B2B Partner Agreement.

If you do not agree to these Terms in their entirety, you must immediately cease using the Platform. These Terms apply to all visitors, registered users (both B2C students and B2B partner organisations), tutors, and any other party that accesses or uses the Platform in any capacity.

We reserve the right to modify these Terms at any time. Material changes will be notified via email or a prominent Platform notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.

Nepal Test Prep ("Platform") is an online English language examination preparation platform focused on IELTS Academic and PTE Academic, available at www.nepaltestprep.com. The Platform is owned, operated, and maintained by Shresh Biz Pvt Ltd ("we", "us", "our"), a company registered in Nepal (www.shreshbizz.com). Nepal Test Prep is a trading platform name and product of Shresh Biz Pvt Ltd; it is not a separately registered legal entity.

All legal obligations, intellectual property rights, data controller responsibilities, and commercial arrangements described in these Terms are held by and vest in Shresh Biz Pvt Ltd, trading as Nepal Test Prep.

Our services are offered both directly to individual students (B2C) and through partner educational organisations such as consultancies and training centres (B2B). The legal relationship differs depending on the route through which you access the Platform.

To access most Platform features, you must register for an account. By registering, you represent and warrant that: (a) all information you provide is accurate, current, and complete; (b) you will maintain and promptly update your account information; (c) you are at least 13 years of age; and (d) users under 18 have obtained parental or guardian consent for paid services.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. You must notify us immediately at csd@nepaltestprep.com upon becoming aware of any unauthorised access to or use of your account.

We reserve the right to suspend or terminate any account where registration information is found to be inaccurate, misleading, or in violation of these Terms.

Individual students who subscribe directly through the Platform are granted a limited, personal, non-exclusive, non-transferable licence to access the features included in their chosen plan for the stated duration.

Payments are processed securely in Nepalese Rupees (NPR). All fees are due at the time of subscription. Nepal Test Prep reserves the right to modify pricing with reasonable advance notice to existing subscribers.

Refund Policy: You may request a refund within 7 days of your initial purchase provided that a significant portion of the subscribed content has not been accessed. Refund requests must be submitted to csd@nepaltestprep.com. Refunds will not be granted after the 7-day window or where the platform features have been substantially used. Nepal Test Prep reserves the right to terminate access without refund where a user is found to be in breach of these Terms.

Students who register and subscribe using an Organisation Code provided by a partner educational organisation ("Host Organisation") access the Platform through an arrangement between Nepal Test Prep and that Host Organisation.

Nepal Test Prep is not a party to any financial transaction between such students and their Host Organisation. All payment matters — including receipts, refunds, billing disputes, and subscription activation — are the sole responsibility of the Host Organisation. Students must raise payment-related matters directly with their Host Organisation as their primary point of contact.

Nepal Test Prep may share subscription status and academic performance data with the student's Host Organisation solely for educational management and administrative purposes. By registering via an Organisation Code, students consent to this data sharing as described further in our Privacy Policy.

The availability and continuity of platform access for organisation-enrolled students is subject to the Host Organisation maintaining an active and compliant partnership with Nepal Test Prep. Nepal Test Prep bears no liability for any interruption to service caused by a Host Organisation's failure to meet its contractual obligations.

All content available on or through the Platform — including but not limited to examination questions, reading passages, listening recordings, writing prompts, speaking prompts, AI scoring models, scoring methodologies, band score reports, analytics dashboards, software, source code, databases, graphics, logos, trademarks, and all other educational materials — is and shall remain the sole and exclusive intellectual property of Nepal Test Prep.

Your subscription (whether direct or through a Host Organisation) grants you a limited, personal, non-exclusive, non-transferable licence to access and use the Platform for your own examination preparation purposes only. This licence does not constitute, and must not be construed as, a transfer of ownership of any intellectual property.

You may not, without the prior written consent of Nepal Test Prep: reproduce, copy, distribute, republish, sell, licence, modify, adapt, translate, create derivative works from, publicly display, transmit, or exploit any platform content in any form or medium; use platform content to train, fine-tune, or develop any artificial intelligence, machine learning, or similar model; scrape, download, or systematically extract question banks, test content, or scoring data; or share login credentials or test content with third parties.

IELTS is a registered trademark of the British Council, IDP: IELTS Australia, and Cambridge Assessment English. PTE Academic is a registered trademark of Pearson PLC. Nepal Test Prep is an independent preparation platform and is not affiliated with, endorsed by, or officially connected to any of these organisations.

You agree to use the Platform only for lawful purposes and in accordance with these Terms and all applicable laws of Nepal. You must not:

• •Share, sell, or distribute access to your account with any other person.
• •Copy, screenshot, record, or redistribute any test questions, audio, passages, or model answers.
• •Use automated tools, bots, scripts, or data extraction software to interact with or harvest content from the Platform.
• •Attempt to gain unauthorised access to any part of the Platform or its underlying systems.
• •Engage in any action that disrupts, damages, or impairs the functionality or performance of the Platform.
• •Upload, transmit, or share any content that is harmful, offensive, defamatory, illegal, or in violation of third-party rights.
• •Impersonate any person, organisation, or entity.
• •Use the Platform for any commercial purpose without Nepal Test Prep's prior written approval.

Violation of this Acceptable Use Policy may result in the immediate suspension or permanent termination of your account without notice and without refund.

The Platform uses artificial intelligence to provide scoring and feedback on practice test responses. Whilst we invest significantly in the accuracy and quality of our AI models, AI-generated scores are indicative only and may not precisely replicate the scoring methodologies used in official IELTS or PTE Academic examinations.

Nepal Test Prep makes no warranty, express or implied, as to the accuracy of AI-generated scores. Results are provided as approximate guidance to inform your preparation. Official examination scores can only be determined by the respective examination bodies and are subject to their own standards and processes.

Tutors listed on the Platform are independent service providers who have applied and been reviewed by Nepal Test Prep prior to approval. Whilst we conduct an assessment of credentials before approval, Nepal Test Prep does not guarantee the quality, outcome, or suitability of any tutoring session.

Students engage tutors at their own discretion. Disputes between students and tutors must be reported to csd@nepaltestprep.com and will be addressed on a case-by-case basis.

Tutors are strictly prohibited from soliciting students for off-platform financial transactions. Any such conduct must be reported to us immediately and will result in removal from the Platform.

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to Nepal Test Prep's collection, processing, and use of your personal data as described in the Privacy Policy.

Nepal Test Prep operates as the primary data controller for all personal data collected through the Platform. For students enrolled through a Host Organisation, Nepal Test Prep may share relevant data with that organisation as described in the Privacy Policy and with the student's informed consent obtained at the time of registration.

The Platform and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable Nepal law, Nepal Test Prep disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Nepal Test Prep does not warrant that: (a) the Platform will be available, uninterrupted, or error-free at all times; (b) defects will be corrected; (c) the Platform or servers are free from viruses or other harmful components; or (d) use of the Platform will result in a particular examination score or outcome.

To the fullest extent permitted under the laws of Nepal, Nepal Test Prep shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your access to or use of — or inability to access or use — the Platform or its content.

Nepal Test Prep's total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you (or on your behalf by a Host Organisation) to Nepal Test Prep in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits Nepal Test Prep's liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation, or for any other liability that cannot be excluded under applicable Nepal law.

These Terms are governed by and shall be construed in accordance with the laws of Nepal, including the Electronic Transactions Act, 2063 (2006), the Consumer Protection Act, 2075 (2018), and the Privacy Act, 2075 (2018), without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall first be subject to good faith negotiation between the parties for a period of not less than 30 days. If unresolved, the dispute shall be referred to the competent courts of Kathmandu, Nepal, which shall have exclusive jurisdiction.

Nepal Test Prep reserves the right to suspend or permanently terminate your account and access to the Platform at any time, without prior notice, if we determine in our reasonable judgment that you have violated any provision of these Terms, engaged in conduct harmful to other users, the Platform, or third parties, or for any other legitimate business reason.

You may request deletion of your account at any time by contacting us at csd@nepaltestprep.com. Upon termination, your licence to use the Platform immediately ceases and Nepal Test Prep may delete your account data in accordance with its data retention policy.
